If the NY court rules the combined entity is solvent at $42, is FL off the hook for the balance or can/would the Tennesse court compel FL to raise capital by issuing stock to pay Genesco the full amount??

If the court finds the entity solvent at a lower price and that UBS must fund at such price is FL then off the hook for the balance?
