SEC Guidance on SOX Forthcoming
Over at Banking Law Prof Blog, Ann Graham (Texas Tech) reports that the SEC plans to issue "SOX 404 guidance" to aid compliance. Professor Graham also helpfully links to an October 12 speech by SEC Commissioner Annette Nazareth at an ALI-ABA Sarbanes-Oxley Institute, the text of which suggests to Graham that the guidance will be "principles based" and allow for flexibility based on institutional size and circumstance.
